MANILA, Philippines – In a powerful affirmation of consumer rights and contractual integrity, the Supreme Court has decisively ruled against a prominent mall management corporation, compelling it to award a grand raffle prize to a determined winner. This landmark decision, detailed in Shopping Center Management Corporation vs. Nelly A. Galutera (G.R. No. E-02121, April 23, 2026), underscores a critical legal principle: once declared a winner, a participant’s right to their prize is undeniable and legally enforceable.

The case centered on Nelly A. Galutera, who, in April 2022, was declared the grand prize winner of a brand-new Suzuki S-Presso Special Edition MT in a raffle conducted by Shopping Center Management Corporation (SCMC) at SM City Cauayan. However, SCMC controversially withheld the prize, citing Promo Mechanics No. 22, which purported to disqualify employees of SCMC, its affiliates, mall tenants, agencies, service providers, and their relatives up to the second degree.

SCMC’s argument hinged on the fact that Galutera’s husband, Rodel, was a security guard deployed at Banco de Oro (BDO) within SM City Cauayan. SCMC contended that Rodel, employed by Ranniag Security Services, Inc. (hired by BDO), rendered Galutera ineligible. Both the Department of Trade and Industry (DTI) Adjudication Officer and the DTI Secretary initially sided with SCMC, ruling that Rodel was an employee of a service provider to a mall tenant.

A Battle for Interpretation: Law Over Administrative Findings

Galutera’s unwavering pursuit of justice eventually reached the highest court. The Supreme Court meticulously examined two crucial issues: the conclusiveness of DTI findings and the interpretation of the contested promo mechanics.

Crucially, the Court asserted that the DTI’s administrative findings were not binding. The core of the dispute involved a purely legal question – the interpretation of Promo Mechanics No. 22 in light of Article 1370 of the Civil Code, which dictates that clear contract terms control. This, the Court highlighted, was a matter for judicial scrutiny, not technical administrative expertise.

Furthermore, SCMC’s attempt to disqualify Galutera as an “indigent party” was dismissed. The Court found that SCMC failed to present evidence that Galutera exceeded the income or property thresholds for indigency, ruling that merely making purchases for raffle entries does not automatically preclude one from being an indigent litigant.

The Decisive Blow: Security Guards Are Not Mall Employees

The most impactful aspect of the ruling centered on the interpretation of Promo Mechanics No. 22 itself. The Supreme Court firmly established that security guards are employees of their respective security agencies, not of the client entity to which they are assigned. This fundamental distinction dismantled SCMC’s entire disqualification claim. Since Galutera’s husband was employed by Ranniag Security Services, Inc., and not by SCMC or its direct service providers, the disqualification clause did not apply to her.

A Victory for Fairness and Contractual Integrity

In a resounding decision, the Supreme Court DENIED SCMC’s petition and AFFIRMED the Court of Appeals’ ruling, declaring that Nelly A. Galutera was NOT disqualified from claiming her rightful prize. This judgment serves as a powerful reminder to corporations that promotional mechanics must be applied with precision and fairness, and that a clear contractual right to a prize cannot be arbitrarily revoked.

This case is a significant victory for consumer protection, sending a clear message that legal interpretation, especially under the Civil Code, will prevail over ambiguous or improperly applied corporate rules, ensuring that the spirit of fair play is upheld in all commercial promotions.
