SC Orders Empire East to Refund Buyer, Upholds Accountability

MANILA, Philippines – In a significant ruling reshaping real estate developer liability, the Supreme Court (SC) determined that a sales agent’s promise to issue a Contract to Sell, while not classified as an “advertisement” under Presidential Decree No. (PD) 957, obligates the developer to refund if that promise is unfulfilled. This judgment, authored by Associate Justice Maria Filomena D. Singh, underscores a broader principle of contractual obligation and accountability beyond advertising regulations.

The SC’s Third Division ordered Empire East Land Holdings, Inc. (Empire East) to refund John Edrem Bautista a total of PHP 130,000, which includes a PHP 20,000 reservation fee and PHP 110,000 in subsequent payments for a residential unit. Bautista initiated payments based on the sales agent’s assurance that a Contract to Sell would be issued upon payment of the reservation fee. Over a year elapsed without the promised contract, prompting Bautista to cease payments and demand a refund.

Empire East contested liability, citing a waiver signed by Bautista stipulating that only written representations approved by an authorized officer were binding. However, both the Human Settlements Adjudication Commission (HSAC) and the Court of Appeals consistently sided with Bautista, holding Empire East liable under Section 19 of PD 957, which addresses developer responsibility for agent advertisements and sales propaganda.

While upholding Bautista’s entitlement to a refund, the SC clarified the scope of PD 957. The High Court determined that Section 19, which mandates truthful and non-misleading promotional materials, applies exclusively to content disseminated to the general public through mass communication channels like newspapers, radio, or television. It does not extend to personalized promises made by a sales agent to an individual buyer.

Crucially, the SC emphasized that this reclassification does not diminish buyer protection. Developers remain liable under their fundamental contractual obligations and other applicable laws. In Bautista’s case, the Court found a clear reciprocal agreement: Bautista fulfilled his obligation by making payments, establishing Empire East’s corresponding duty to issue the Contract to Sell. Empire East’s prolonged failure to deliver the contract constituted a breach, entitling Bautista under the Civil Code to rescind the agreement and recover his payments.

Beyond the refund, the SC imposed exemplary damages of PHP 260,000 against Empire East. This punitive award, designed to deter future wrongful conduct, highlights the Court’s condemnation of the developer’s prolonged inaction. The SC noted the almost 16-year legal battle over a PHP 130,000 claim:

“While this sum is not insignificant to an ordinary Filipino, it is undeniable that a real estate corporation such as Empire East possessed the means and capacity to promptly satisfy the claim. Its refusal to do so is rendered even more unjustified by the fact that the validity of Bautista’s claim was consistently affirmed by the HSAC Adjudicator, the HSAC, and the CA.”

This landmark ruling serves as a potent reminder to developers: while the precise definition of “advertisement” under PD 957 may be narrowed, the fundamental principles of good faith, contractual obligation, and consumer protection remain paramount. The decision strengthens the position of individual buyers, ensuring that developers are held accountable for their agents’ promises and their own failures to fulfill basic contractual duties, even when those promises fall outside the conventional scope of mass advertising.
